Hoodie Design Contest — Terms & Conditions
These Terms & Conditions apply to the "Win a Hoodie" Hoodie Design Contest promoted by Interstellar Threads.
By submitting an entry, you agree to these Terms & Conditions.
1. Promoter
The promoter is Interstellar Threads.
References to "we", "us" and "our" mean Interstellar Threads. References to "you" and "entrant" mean the person submitting a design idea.
2. Eligibility
Entry is open to individuals who are legally able to participate in this promotion under the laws that apply to them.
Entrants under 18 years of age must have permission from a parent or legal guardian to enter. We may request proof of consent before accepting an entry, selecting a winner, publishing a name, or awarding a prize.
Employees, contractors, suppliers, and immediate family members of Interstellar Threads may be excluded from winning at our discretion.
This promotion is void where prohibited by law.
3. Nature of the contest
This is a design idea submission contest. Entrants may submit original hoodie design ideas for possible development, manufacture, marketing, and sale by Interstellar Threads.
The contest may include public voting, internal judging, shortlisting, market testing, social media engagement, or other review methods chosen by us.
A public vote, poll result, number of likes, comments, shares, or other popularity result does not automatically guarantee that an entry will win, be produced, or be sold.
The final winning design, if any, will be selected by Interstellar Threads based on factors including, but not limited to:
- originality;
- brand fit;
- space-theme suitability;
- manufacturing feasibility;
- commercial suitability;
- legal and copyright risk;
- cost of production;
- print, embroidery, or garment limitations;
- quality control;
- customer demand;
- supplier availability; and
- whether the design can reasonably be developed into a finished Interstellar Threads product.
4. Entry requirements
To enter, you must submit your design idea through the official Interstellar Threads entry form or another approved entry method nominated by us.
Your submission may include written descriptions, sketches, digital images, reference notes, colour ideas, slogans, character concepts, layout ideas, or other creative material.
You may submit more than one entry unless we state otherwise.
We may reject, remove, disqualify, or ignore any entry that we consider, at our discretion, to be:
- offensive, abusive, hateful, discriminatory, explicit, defamatory, or unlawful;
- copied from another person, brand, artist, artwork, character, logo, design, movie, show, game, band, celebrity, franchise, or copyrighted work;
- too similar to existing intellectual property;
- generated or submitted in a way that breaches another platform's rules;
- unsuitable for Interstellar Threads;
- commercially or technically impractical;
- incomplete, false, misleading, or fraudulent; or
- otherwise inappropriate.
5. Originality and copyright warranty
By submitting an entry, you promise and warrant that:
- your submission is your own original idea or you have all necessary rights and permissions to submit it;
- your submission does not copy, reproduce, imitate, or substantially derive from another person's protected work;
- your submission does not infringe copyright, trade marks, designs, moral rights, passing off rights, privacy rights, publicity rights, or any other third-party rights;
- your submission does not contain unauthorised characters, logos, brand names, slogans, artwork, celebrities, sports teams, music references, movie references, gaming references, anime references, or other protected material;
- you have not granted exclusive rights in the same submission to someone else;
- you have the legal right to grant Interstellar Threads the rights set out in these Terms & Conditions; and
- all information you provide with your entry is true and accurate.
Copyright in Australia can arise automatically when a work is created, and copyright can apply to artistic works and other creative material. For that reason, do not submit designs based on existing franchises, characters, artworks, logos, brands, artists, or online images unless you own or control all necessary rights.
6. Rights granted to Interstellar Threads
By submitting an entry, you grant Interstellar Threads a worldwide, royalty-free, perpetual, irrevocable, transferable and sublicensable licence to use, reproduce, adapt, modify, develop, manufacture, sell, advertise, publish, display, distribute, and otherwise commercialise your submission, including any design, concept, idea, theme, slogan, sketch, description, image, or creative direction contained in your entry.
This licence allows Interstellar Threads to:
- review and assess your entry;
- shortlist your entry;
- display your entry in polls, marketing, social media, emails, website pages, or promotional material;
- adapt your idea into a finished hoodie design;
- modify colours, wording, artwork, proportions, placement, characters, layout, garment type, materials, production method, and other creative or technical details;
- combine your idea with other ideas, existing Interstellar Threads concepts, or our own design work;
- manufacture and sell products based on, inspired by, adapted from, or developed from your submission;
- continue selling those products indefinitely; and
- use the resulting design across hoodies, apparel, accessories, stickers, marketing, packaging, digital content, and future Interstellar Threads products.
You acknowledge that Interstellar Threads may create, already be creating, or later create designs that are similar to your submission. You agree that you will not make any claim against Interstellar Threads merely because a current or future Interstellar Threads product is similar to your submission, provided we have not unlawfully copied protected material owned by you outside the rights granted under these Terms.
7. Ownership of final product designs
Unless we agree otherwise in writing, all final artwork, production files, edited designs, mock-ups, garment layouts, embroidery files, print files, product photos, marketing assets, and finished product designs created or commissioned by Interstellar Threads will be owned by Interstellar Threads.
Your submission may inspire or contribute to a final design, but the final commercial product may be substantially changed, refined, redrawn, rewritten, edited, or adapted by Interstellar Threads or its designers.
You agree that you are not entitled to royalties, licence fees, commission, profit share, revenue share, ownership, approval rights, or ongoing payments from any product, design, sale, campaign, or business activity connected to your submission.
8. Moral rights consent
To the extent permitted by law, you consent to Interstellar Threads and its designers, suppliers, contractors, manufacturers, and related parties doing acts or omissions in relation to your submission that may otherwise infringe your moral rights.
This includes editing, adapting, cropping, redrawing, modifying, not attributing you, attributing you in a particular way, combining your submission with other material, or using the submission in a commercial context.
Moral rights in Australia can include rights of attribution, protection against false attribution, and integrity of authorship.
9. Winner selection
Interstellar Threads may, but is not required to, select one or more winning entries.
A winning entry will only be confirmed when Interstellar Threads announces the winner through an official Interstellar Threads channel or contacts the winner directly.
A public poll or popularity vote may be used to help assess interest, but the highest-voted entry will not automatically win unless we expressly state otherwise.
We reserve the right not to select a winner if, in our opinion, no entry is suitable for production, sale, or brand use.
10. Production requirement and feasibility
The purpose of the contest is to find a design idea that may be developed into a real Interstellar Threads product.
However, an entry will only proceed to production if Interstellar Threads determines that the design is legally safe, commercially suitable, technically feasible, and appropriate for the brand.
We may refuse to produce, delay production, alter production, limit production, or cancel production if:
- the design may infringe third-party rights;
- the design is too expensive or impractical to manufacture;
- suppliers, garments, colours, materials, or production methods become unavailable;
- quality standards cannot be met;
- minimum order quantities are not commercially viable;
- demand is insufficient;
- the design does not meet brand standards;
- the entrant breaches these Terms;
- legal concerns arise; or
- any other issue makes production unsuitable.
No entrant is entitled to force Interstellar Threads to manufacture, release, continue selling, restock, advertise, or distribute a product.
11. Prize
If your entry is selected as the winning design and the design is released into production, you will receive one free hoodie from the first production run of that design, subject to availability, sizing, manufacturing, shipping, and production timing.
The prize is not transferable, exchangeable, or redeemable for cash unless we agree otherwise in writing.
If the selected design does not proceed to production for any reason, we may, at our discretion, offer an alternative prize, such as a standard Interstellar Threads hoodie, store credit, discount code, or no prize where permitted by law.
The estimated prize value will be the retail value of the hoodie at the time it is awarded.
The winner is responsible for ensuring the delivery details they provide are accurate.
12. No payment or royalties
The free hoodie is the full and final reward for the winning entry unless we expressly agree otherwise in writing.
By entering, you acknowledge and agree that you will not receive royalties, licensing fees, commissions, revenue share, profit share, ongoing payments, ownership rights, or further compensation if your idea, or a design inspired by your idea, is manufactured, marketed, sold, restocked, modified, or used in future products.
13. Publicity
If you win, we may use your first name, social media handle, general location, entry, comments, submitted images, and reasonable details about your design idea for promotional purposes.
We will not intentionally publish your private contact details.
You may request that we use only your first name, initials, or social media handle, but we are not required to publish any winner details unless required by law or promotion rules.
14. Privacy
We collect personal information such as your name, email address, social media handle, design submission, and delivery details for the purpose of running the contest, contacting entrants, assessing entries, awarding prizes, managing production, and promoting the contest.
We may also use your information for marketing if you consent to receive marketing communications.
We will not sell your personal information.
We may disclose information to service providers who help us operate the contest, including website providers, email platforms, designers, manufacturers, shipping providers, and legal or business advisers.
By entering, you agree to this collection and use of your information.
15. Disqualification
We may disqualify an entrant at any time if we reasonably believe that the entrant has:
- breached these Terms;
- submitted copied, stolen, misleading, unlawful, or infringing material;
- manipulated a vote or poll;
- used bots, fake accounts, paid voting, vote swapping, or other unfair methods;
- provided false information;
- behaved abusively or dishonestly;
- attempted to damage Interstellar Threads or the contest; or
- caused legal, reputational, or commercial risk to Interstellar Threads.
If a winner is disqualified, we may choose another winner or cancel the prize.
16. Third-party claims and indemnity
You agree to indemnify Interstellar Threads, its owners, employees, contractors, suppliers, manufacturers, designers, agents, and related parties against any loss, damage, claim, demand, cost, expense, liability, or legal proceeding arising from:
- your breach of these Terms;
- your submission;
- any claim that your submission infringes another person's rights;
- any false, misleading, or inaccurate information provided by you;
- your misuse of the contest; or
- your unlawful or improper conduct.
This clause is intended to protect Interstellar Threads if, for example, you submit a design copied from another artist, brand, movie, game, character, logo, or copyrighted work.
17. Limitation of liability
To the maximum extent permitted by law, Interstellar Threads is not liable for any loss, damage, cost, claim, or expense arising from or connected with the contest, including:
- lost, late, incomplete, corrupted, or misdirected entries;
- technical issues;
- website or form errors;
- voting errors;
- social media platform issues;
- manufacturing delays;
- product changes;
- cancellation of the contest;
- cancellation of production;
- failure to select a winner;
- failure of an entry to be produced or sold; or
- disappointment, loss of opportunity, or loss of expected benefit.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot lawfully be excluded under Australian Consumer Law.
18. Changes, suspension, or cancellation
We may amend, suspend, cancel, extend, or restart the contest if necessary due to legal issues, technical issues, supply issues, manufacturing issues, suspected fraud, low entry numbers, low design suitability, platform issues, or any other reason beyond our reasonable control.
Where reasonable, we will publish updates on the Interstellar Threads website or relevant contest page.
19. Social media disclaimer
If the contest is promoted on Instagram, Facebook, TikTok, X, Pinterest, YouTube, or any other social media platform, the contest is not sponsored, endorsed, administered by, or associated with that platform unless we expressly say otherwise.
You release those platforms from any liability connected with the contest.
20. Governing law
These Terms & Conditions are governed by the laws of Victoria, Australia.
Entrants submit to the non-exclusive jurisdiction of the courts of Victoria, Australia.
